Engagement Agreement for Direct-to-Consumer Food Ordering Platform & Kitchen Dispatch Engine

Engagement Summary: This Statement of Work ("SOW") formalizes the scope of services, deliverables, milestone payments, and ongoing support terms agreed upon between Nexus Development ("Service Provider") and Raku's Kitchen ("Client"). This instrument documents the collaborative delivery cycle executed over the past 2 months resulting in a complete, live production solution.

3. Cloud Account & Infrastructure Ownership

In accordance with standard enterprise software governance, all third-party accounts, APIs, and cloud services are directly owned by and registered to the Client (Raku's Kitchen). The Client maintains direct billing relationships with all third-party vendors:

Google Cloud / Firebase: Firebase Auth, Cloud Firestore, Firebase Hosting/Storage.
Razorpay: Merchant account, KYC verification, and payout settlement bank account.
Ola Maps API: Map rendering and geocoding quota billings.
Fast2SMS Gateway: SMS credits, DLT registration and customer verification quota.
Borzo & Porter: Business delivery accounts and rider recharge wallets.

4. Maintenance, Warranty & Ongoing Support Terms

The total contract value of ₹80,000 includes a dedicated ₹15,000 Annual Maintenance Contract (AMC) providing full 1-year warranty and ongoing maintenance support as follows:

Included Without Additional Expense (Under 1-Year AMC):
- Full bug-fixing and technical support for all features and modules delivered under this SOW.
- Ongoing minor operational changes including dish name changes, menu pricing updates, packaging fee adjustments, holiday hours changes, and operational banner updates.
Hourly Feature Expansion (Out of Scope):
- Any major architectural additions or new feature modules (e.g., custom loyalty rewards, multi-branch kitchen support, native app builds) will be scoped separately and billed on a Time & Materials basis at ₹600/hour.

5. Boundaries & Exclusions (Out of Scope)

Native mobile application builds submitted to the Apple App Store or Google Play Store (the delivered solution is a Progressive Web App).
Payment gateway transaction charges (Razorpay standard MDR fees are settled directly between Razorpay and Client).
Doorstep delivery rider fees (courier costs are paid directly by end customers to Borzo/Porter delivery riders).
Kitchen food preparation hardware or physical tablet/printer hardware procurement.

6. Handover & Go-Live Schedule (20 Calendar Days Post-Signing)

Formal public Go-Live of the Raku's Kitchen Ordering & Delivery Platform is scheduled exactly 20 calendar days following the execution and digital signing of this document:

Days 1–7 (Setup & Verification): Live payment gateway settlement validation, kitchen staff portal training, and final menu catalog verification.
Days 8–14 (Operational Drills & Logistics): Real-world test dispatches with Borzo & Porter delivery riders and simulated kitchen lunch/dinner peak volumes.
Days 15–20 (Launch Readiness): Customer WhatsApp bio-link routing, QR collateral distribution, and final pre-flight health checks.
Day 20: Official Public Go-Live and transition into 1-Year AMC warranty support.

7. Acceptance & Formal Sign-off

Both parties hereby acknowledge and agree to the scope, milestones, deliverables, and the 20-day Go-Live schedule specified in this Statement of Work.
